By accessing or using the Busyless platform and services operated by Opinor Group LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. General Use Disclaimer

BusyLess™ is a software platform designed to assist contractors in organizing business operations, document creation, and client communication. While it automates and streamlines workflow processes, the accuracy and legality of all content entered, sent, or generated via the platform remain the sole responsibility of the user.

3. No Legal Advice

Information provided in BusyLess™, including contract templates, proposals, invoices, or other documentation, is for informational and operational purposes only and does not constitute legal advice. Users should consult qualified legal counsel to review or modify any document content or agreement language used within the platform.

4. Description of Service

Busyless is a software-as-a-service (SaaS) platform designed for contractors. Our services include proposal generation, customer management, invoicing, electronic signatures, change order management, and related business tools. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

5. Account Terms

• You must be at least 18 years old to use this service.
• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

6. Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.
• All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
• We reserve the right to change our pricing with 30 days' notice to existing subscribers.
• Failure to pay may result in suspension or termination of your account.
• You are responsible for all applicable taxes associated with your subscription.

7. Payment Processing

All billing and subscription payments are handled securely through our third-party provider Stripe™. BusyLess™ is not responsible for Stripe's data handling, transaction processing delays, or account configuration settings. Users should refer to Stripe's Terms of Service for additional clarity.

8. Free Trial

We may offer a free trial period. At the end of the free trial, your account will be charged according to the plan you selected unless you cancel before the trial period ends. We reserve the right to modify or discontinue free trials at any time.

9. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the service
• Interfere with or disrupt the service or servers connected to the service
• Upload or transmit viruses, malware, or other harmful code
• Use the service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or redistribute the service without our written consent

10. Third-Party Integrations

BusyLess™ may provide links or embedded content from third-party services (e.g., mapping tools, form embeds, Stripe™ dashboards). These third-party tools operate independently, and BusyLess™ assumes no liability for their behavior, availability, or data handling practices.

11. Your Data

You retain ownership of all data you input into the platform. We do not claim ownership of your content. You grant us a limited license to use, store, and process your data solely to provide and improve our services. We will handle your data in accordance with our Privacy Policy.

12. Intellectual Property

BusyLess™, its logo, Proposal Generator™, and related names are trademarks of Opinor Group LLC. All proprietary content, software design, and instructional materials are protected under U.S. and international copyright laws. Unauthorized reproduction, distribution, or modification is strictly prohibited.

13. Service Availability

While BusyLess™ aims for continuous uptime and reliability, occasional maintenance windows or unexpected outages may occur. BusyLess™ is not liable for business losses resulting from temporary service interruptions.

14. Cancellation and Termination

• You may cancel your subscription at any time through your account settings.
• Upon cancellation, your account will remain active until the end of your current billing period.
• We may terminate or suspend your account immediately for violations of these terms.
• Upon termination, your right to use the service ceases immediately.
• We will make your data available for export for 30 days following termination.

15. Limitation of Liability

To the maximum extent permitted by law, Opinor Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total liability for any claims arising from or related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

16. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

17. Indemnification

You agree to indemnify and hold harmless Opinor Group LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service or violation of these terms.

18. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms or the service shall be resolved in the courts located in the State of Florida.

19. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the “Last updated” date. Your continued use of the service after changes are posted constitutes acceptance of the modified terms.
